• Any content or data you provide to us

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties consent to the personal jurisdiction of such courts.

Termination

Termination by You

• You remain responsible for payment of all fees incurred prior to termination
• We will provide any completed work products upon payment of outstanding fees

Termination by Us

• We may terminate services for non-payment after appropriate notice
• We may terminate immediately if you breach these Terms
• We may terminate with notice if circumstances prevent effective service delivery

Effect of Termination

Upon termination:

• All payment obligations become immediately due
• Confidentiality obligations continue to apply
• We will return or destroy your confidential information as requested
• Provisions that should survive termination will remain in effect

Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

If such circumstances continue for more than thirty (30) days, either party may terminate the affected service agreement with written notice.

Entire Agreement

These Terms, together with any individual service agreements and our Privacy Policy, constitute the entire agreement between you and neurofluxa regarding the use of our services.

These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
